Code Usage and Licensing – AM Digital Productions LLC

All digital assets developed by AM Digital Productions LLC—including but not limited to custom WordPress plugins, JavaScript, APIs, HTML, CSS, and any other software components—remain the intellectual property of AM Digital Productions LLC unless otherwise stated in writing.

Upon final payment and project completion, the Client is granted a non-exclusive, non-transferable, revocable license to use the provided code and functionality solely for the agreed-upon project or domain. By submitting final payment electronically or otherwise the client or user enters an agreement to abide by the terms outlined here and in their specified agreement. 

Restrictions on Use

• The Client may not resell, sublicense, redistribute, replicate, or transfer the code, plugin, or tool to any third party or platform without prior written permission from AM Digital Productions LLC.

• Code may not be used in SaaS or multi-client platforms without an extended license agreement.

• Third-party developers may modify or extend the code only with written consent from AM Digital Productions LLC.

• Unauthorized use, duplication, or modification constitutes a violation of this license and may result in immediate license termination and legal action.

Custom Code & Non-GPL Scope

While some solutions may be integrated into WordPress, not all code provided is covered under open-source or GPL licensing. Any custom-developed software, external API logic, or backend functionality is delivered under proprietary license, with usage limited to the originally intended site and purpose.

Portfolio & Credit Rights

AM Digital Productions LLC reserves the right to display or reference the project—including plugins, user interface components, and other deliverables—for portfolio, case study, or marketing purposes, unless the Client submits a request to opt out in writing.

Disclaimer of Warranty and Liability

All code, plugins, and tools are provided “as is”, without warranty of any kind—express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

Under no circumstances shall AM Digital Productions LLC be liable for any direct, indirect, incidental, consequential, or special damages arising out of or in connection with:

• the use or performance of the software,

• errors or bugs in the code,

• third-party conflicts,

• or inability to use the product in a production environment.

The Client assumes full responsibility for testing, deployment, compatibility, and integration within their environment.

Indemnification

The Client agrees to indemnify, defend, and hold harmless AM Digital Productions LLC from and against any and all claims, liabilities, damages, losses, or expenses—including reasonable attorney’s fees—arising from the Client’s use or misuse of the code, violation of this license, or infringement of any third-party rights.

Termination of License

This license is immediately terminable if the Client violates any terms herein. Upon termination, the Client must cease all use and destroy any copies of the code or plugin.

Third-Party Dependencies

Some solutions may rely on third-party libraries, APIs, or frameworks. While we strive for compatibility and security, AM Digital Productions LLC makes no guarantees regarding third-party services and is not responsible for external changes or outages.
